Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you") and CarAPI LLC ("CarAPI," "Company," "we," "us," or "our") governing your access to and use of carapi.app and our vehicle data application programming interface and related services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are not authorized to access or use the Services.

We reserve the right to modify these Terms at our discretion. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Services following any such modification constitutes acceptance of the revised Terms.

The Services are intended solely for users who are at least eighteen (18) years of age. By using the Services, you represent and warrant that you meet this requirement.

1. The Services

CarAPI provides vehicle data through an application programming interface and a data feed (collectively, the "Services"). The scope of functionality made available is limited to that described on the website carapi.app. No functionality not expressly described therein shall be deemed included in the Services.

The Services are not designed or represented to satisfy the requirements of any industry-specific regulatory framework. You are solely responsible for determining whether your use of the Services complies with any laws or regulations applicable to you, including those of any jurisdiction from which you access the Services.

2. User Accounts

Access to certain features of the Services requires registration. You are responsible for maintaining the confidentiality of your credentials, including your password, API tokens, and API secrets, and for all activity occurring under your account. You agree to notify us promptly of any unauthorized use of your account or any other breach of security.

3. User Representations

By using the Services, you represent and warrant that: (a) all registration and account information you submit is true, accurate, current, and complete, and you will promptly update such information as necessary; (b) you have the legal capacity and authority to agree to these Terms; (c) you are not a minor in the jurisdiction in which you reside; and (d) your use of the Services will comply with these Terms and all applicable laws and regulations. If any information you provide is untrue, inaccurate, or incomplete, CarAPI reserves the right to suspend or terminate your account.

4. Intellectual Property Rights

Ownership. CarAPI retains all right, title, and interest in and to the Services, including all software, source code, databases, documentation, and other content therein (collectively, the "Content"), as well as all associated trademarks, service marks, and logos (the "Marks"). The Content and Marks are protected by applicable intellectual property and unfair competition laws. Except for the limited license expressly granted herein, no right, title, or interest in the Services, Content, or Marks is transferred to you, and all rights not expressly granted are reserved by CarAPI.

License Grant. Subject to your compliance with these Terms, CarAPI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in connection with your own applications, websites, and services, in accordance with your applicable subscription plan. This license permits the display of Content within your end-user-facing products but does not permit redistribution of the Content in bulk or as a standalone dataset, as further described in Sections 4 and 6.

Restriction on Competing Use. You shall not use data obtained through the Services, including data obtained via the data feed, directly or indirectly, to create, populate, supplement, or otherwise materially contribute to any collection, compilation, database, or product that competes with or is substantially similar to the Services, without CarAPI's prior written consent. This restriction is a material term of these Terms and a condition of the license granted herein.

5. Fees, Billing, and Cancellation

You agree to provide accurate and current billing information and to promptly update such information as necessary. Subscriptions renew automatically for successive billing periods unless cancelled in accordance with this Section. You may cancel your subscription at any time through your account; cancellation shall take effect at the end of the then-current billing period. Except as otherwise required by applicable law or expressly stated herein, all fees are non-refundable, and any refund shall be issued solely at CarAPI's discretion. Certain features are billed on a per-request basis, and if you opt into soft rate limits, requests exceeding your plan's included volume will be billed at the applicable per-request rate, in each case as described on the pricing page. CarAPI reserves the right to modify its fees prospectively upon reasonable notice.

6. Acceptable Use

You shall not, and shall not permit any third party to:

  1. access or use the Services by means of scraping, harvesting, or other automated means not expressly authorized under your subscription plan;
  2. circumvent, disable, or otherwise interfere with rate limits, authentication mechanisms, or other technical restrictions on the Services;
  3. reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Services, except to the extent such restriction is prohibited by applicable law;
  4. use the Services in furtherance of a product or service that competes with CarAPI, as further described in Section 4;
  5. resell, sublicense, or otherwise provide third-party access to the Services or the Content without CarAPI's prior written authorization;
  6. use the Services for any unlawful, fraudulent, or deceptive purpose;
  7. interfere with, disrupt, or place undue burden on the Services or the networks or systems supporting them; or
  8. impersonate any person or entity or misrepresent your affiliation with any person or entity; or
  9. redistribute, republish, syndicate, or otherwise make available to any third party the data feed, in whole or in part, whether in its original form or incorporated into another product, dataset, or service, without CarAPI's prior written authorization.

CarAPI reserves the right to suspend, throttle, or terminate access in the event usage of the Services is, in CarAPI's reasonable determination, excessive or abusive.

7. Submissions and Feedback

Any feedback, suggestions, ideas, or other communications you voluntarily submit to CarAPI regarding the Services ("Submissions") may be used by CarAPI for any purpose, without restriction or compensation to you. By making a Submission, you represent and warrant that the Submission is not unlawful, defamatory, infringing, or otherwise objectionable, and that you have all rights necessary to submit it and to grant CarAPI the rights described in this Section.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CARAPI MAKES NO REPRESENTATION OR WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA PROVIDED THROUGH THE SERVICES. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CARAPI OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF CARAPI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CARAPI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CARAPI DURING THE ONE (1) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR WARRANTIES; ACCORDINGLY, SOME OF THE FOREGOING LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless CarAPI and its officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Services; (b) your breach of these Terms; or (c) your violation of any applicable law or the rights of any third party.

11. User Data

CarAPI may retain data you transmit to or generate through the Services for purposes of operating and maintaining the Services. While CarAPI performs routine backups, you are solely responsible for any data you transmit or that relates to your use of the Services. CarAPI shall have no liability for any loss or corruption of such data, and you hereby waive any claim against CarAPI arising from such loss or corruption.

12. Term and Termination

These Terms remain in effect for so long as you access or use the Services. CarAPI reserves the right, in its sole discretion, to suspend or terminate your access to the Services at any time, with or without cause or notice, including for breach of these Terms. You may discontinue use of the Services and cancel your account at any time in accordance with Section 5. Sections 4, 7, 8, 9, 10, 11, and 13 shall survive any termination of these Terms.

13. Governing Law; Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.

Informal Resolution. The parties agree to first attempt in good faith to resolve any dispute arising out of or relating to these Terms through informal negotiation for a period of not less than thirty (30) days following written notice of the dispute.

Binding Arbitration. Any dispute not resolved through informal negotiation shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Richmond, Virginia. Arbitration shall proceed on an individual basis only; no dispute may be arbitrated or litigated on a class, consolidated, or representative basis. Notwithstanding the foregoing, disputes concerning intellectual property rights, unauthorized use of the Services, or claims for injunctive relief are exempt from this arbitration provision and may be brought in the state or federal courts located in Richmond, Virginia, to whose jurisdiction the parties hereby consent.

Limitation Period. No dispute arising out of or relating to these Terms may be brought by either party more than one (1) year after the cause of action accrues, except where a longer period is required by applicable law.

14. Privacy

Your use of the Services is subject to our Privacy Policy, available at carapi.app/privacy-policy, which is incorporated herein by reference. The Services are hosted in the United States; by using the Services, you consent to the transfer and processing of your data in the United States.

15. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CarAPI with respect to the Services and supersede all prior agreements and understandings. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. If any provision of these Terms is held invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. CarAPI shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, or failures of third-party infrastructure or telecommunications.
